SHIMIZU CORPORATION (SINGAPORE OFFICE) ANTI-BRIBERY & ANTI-CORRUPTION POLICY
Our Commitment
We maintain a zero-tolerance policy toward bribery and corruption in any form. We are committed to acting professionally, fairly, and with absolute integrity in all our business dealings and relationships globally, in full compliance with ISO 37001:2025 and applicable anti-bribery laws.
Core Principles
- Strict Prohibition : We prohibit the offering, giving, solicitation, or acceptance of any bribe, kickback, or improper incentive—whether direct or indirect, involving public officials or private individuals.
- Gifts & Hospitality : No gifts, meals, or entertainment may be offered or accepted to improperly influence a business decision. All corporate hospitality must be transparent, proportionate, and pre-approved.
- Third-Party Compliance : Our contractors, suppliers, and business partners are required to uphold these same anti-bribery standards. We conduct risk-based due diligence on all key relationships.
- Financial Integrity : Every transaction, payment, and expense must be accurately recorded in our financial books with full supporting documentation. Secret or unrecorded accounts are strictly forbidden.
Roles and Responsibilities
- Leadership : Executive management provides the resources and oversight necessary to maintain our Anti-Bribery Management System (ABMS).
- Compliance Function : Our Anti-Bribery Compliance Function (ABCF) acts independently and is fully empowered to oversee ABMS implementation, provide guidance, and investigate concerns.
- Employees : Every employee must understand, uphold, and actively comply with this policy in their daily work.
Reporting and Protection
We foster a transparent culture. If you suspect or witness any acts of bribery or corruption, you must report it immediately.
- No Retaliation : We strictly prohibit retaliation or adverse action against any employee for reporting a concern in good faith or for refusing to participate in bribery.
- How to Report : Speak to your manager, contact the Compliance Function directly at compliance.sg@shimz.biz, use the Compliance Mailbox in the Mail Room (anonymous reporting possible), email the Corporate Ethics Helpline (run by Tokyo HQ) at kigyourinri@shimz.co.jp or send a letter to Corporate Ethics Helpline, Shimizu Corporation; 16-1 Kyobashi 2-chome, Chuo-ku, Tokyo 104-8370, Japan.
Consequences of Non-Compliance
Violation of this policy is a severe offense. It will result in disciplinary action up to immediate termination of employment, and where appropriate, referral to law enforcement authorities for criminal prosecution.
